ICPHSO Antitrust Policy

Antitrust laws prohibit agreements or actions between two or more businesses that restrict competition. These include, but are not limited to, agreements to set prices or quantities of goods or services, allocate customers or territories, hinder a competitor’s operations, or otherwise unreasonably limit business activity. Price discrimination, including discriminatory pricing of services, is also prohibited.

As an organization that brings together various international stakeholders, some of whom are competitors, it is ICPHSO’s policy that all attendees must ensure that they do not engage in any practice that might go against local, state, national, or international anti-trust regulations.

Ignoring these laws can be costly and dangerous. Compliance is critical to protect both individual and organizational interests.

Every attendee is expected to adhere to these fundamental rules.

  • DO NOT discuss your prices, competitors' prices, or anything affecting prices, such as costs, discounts, terms of sale, or profit margins with competitors (except in transactions where you are buying from or selling to that competitor).
  • DO NOT agree with competitors on uniform terms of sale, warranties, or contract provisions.
  • DO NOT agree with competitors to divide customers, territories, or markets.
  • DO NOT act jointly with competitors to harm or disadvantage another competitor.
  • DO NOT attempt to influence or prevent a supplier from selling to a competitor.
  • DO NOT discuss future pricing, marketing strategies, or policy plans with competitors.
  • DO NOT share customer information with competitors or engage in any joint customer communication without a legitimate reason.

Declaration of Policy
ICPHSO and its members are committed to full compliance with international, U.S. federal antitrust laws and relevant state regulations.

When participating in ICPHSO activities, Members and attendees representing companies must have a heightened awareness of potential competitive risks, ensuring they not only avoid actual violations but also avoid any actions that could appear to be anti-competitive. The best safeguard against antitrust violations is the prudence and discretion of ICPHSO members and all participants.

Remember: If in doubt about whether an activity might raise an antitrust issue, DO NOT proceed without seeking legal counsel.

This policy adopted by the Board of Directors will be posted on the ICPHSO website as a reminder and resource to participants at ICPHSO events.
